Terms of Service

These Terms of Service ("Terms") govern your use of adamsomondi.site (the "Site") and any services offered by Adams Omondi Ogutu operating as Adonis Smart Technologies.

1. Acceptance

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Services

I provide software development, web development, business systems, AI automation and related technology services. Specific scope, deliverables, timelines and pricing for any engagement are agreed separately in writing (email, proposal or contract).

3. Quotes and pricing

• Prices shown on the Site are indicative ranges, not final quotations.
• All projects receive a written, fixed quotation before work begins.
• Payment terms and milestones are agreed before project kickoff.

4. Intellectual property

• Upon full payment, ownership of delivered custom code, content and assets transfers to the client, unless otherwise agreed in writing.
• Third-party libraries, frameworks and services used within a project remain under their own licenses.
• The Site itself, its design, text and code, remain my intellectual property unless stated otherwise.

5. Client responsibilities

To complete a project successfully, clients agree to:

• Provide timely feedback, approvals and required content.
• Ensure any content supplied does not infringe third-party rights.
• Pay invoices according to the agreed schedule.

6. Timelines

Timelines are estimates agreed in good faith. Delays caused by late client feedback, missing content, third-party service issues or events outside my control may extend delivery dates.

7. Support and maintenance

• All projects include a defined post-launch support window, noted in the proposal.
• Ongoing maintenance, monitoring and updates are provided through separate monthly Care Plans.

8. Third-party services

Projects may rely on third-party providers (hosting, domains, payment gateways, email, AI APIs, etc.). I am not responsible for outages, policy changes or pricing changes by these providers.

9. Limitation of liability

To the maximum extent permitted by law, my total liability for any claim arising from a project or from your use of the Site is limited to the total fees paid by you for the specific engagement. I am not liable for indirect or consequential damages, including lost profits or lost data.

10. Client data and security

I take reasonable measures to secure any systems I build and any data processed during a project. Clients are responsible for their own backups unless a Care Plan covering backups is in place.

11. Confidentiality

Both parties agree to keep confidential any non-public information shared during an engagement, unless disclosure is required by law.

12. Cancellation and refunds

• Either party may cancel a project with written notice.
• Work completed up to the cancellation date is payable.
• Deposits are non-refundable once project work has commenced, except where required by law.

13. Portfolio rights

Unless agreed otherwise in writing, I may reference completed projects in my portfolio and case studies (excluding confidential details).

14. Changes to these terms

These Terms may be updated periodically. The "Last updated" date will reflect any changes. Continued use of the Site means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the Republic of Kenya. Disputes will first be attempted to be resolved amicably before any formal action.
